1. Who these terms cover #
These terms apply to your use of Crosspoint Nexus, including the desktop, iOS, Android, and web apps, the client portal, and our programming interfaces (the "Service"). By creating an account you agree to them. If you use the Service for an organization, you confirm you may bind it. Counsel to confirm: assent flow, record of acceptance (the legal_acceptances table), and notice of changes.
2. Eligibility and age #
You must be at least 18 years old to create an account (project decision Q21, default pending Doc). Parents and guardians on a Family plan may create managed child profiles under section 9 and the Child Safety Policy. We delete accounts we learn belong to a child under 13 (Children's Online Privacy Protection Act of 1998; Federal Trade Commission, 2025, 16 C.F.R. § 312.2, § 312.3, § 312.5; counsel to confirm the deletion authority). Counsel to confirm the minimum age in each country, and the GDPR Article 8 age of digital consent (16, or as low as 13 by member state law) (Regulation (EU) 2016/679, 2016, Art. 8).
3. Your account and personas #
Keep your sign-in methods (passkey, Google sign-in, recovery) secure. You are responsible for activity under your account except where we caused it. A persona (personal, work, academic, family) is a view of your account; billing stays with the account.
4. The Service, previews, and Coming Soon features #
Some features are labeled Coming Soon or Preview. They may be hidden, changed, or withdrawn, are not promised, and some are visible only to staff. Features that touch health, finance, calling, or screen contents stay off until legal review is complete.
5. AI output #
The Service uses AI models. Output can be wrong, incomplete, or out of date. Output is not medical, legal, financial, tax, or mental health advice, and is not a substitute for a licensed professional. You review output before you rely on it or send it to others. AI generated audio, images, video, and text may carry notices or markings where the law requires (Regulation (EU) 2024/1689, 2024, Art. 50; counsel to confirm dates and scope).
6. Your content and our license #
You keep ownership of your content. You give us a limited license to host, process, transmit, and display it only to run the Service for you, including sending it to model and media providers that process it for us under contract (see the Subprocessor List). We do not use your content to train models unless you later opt in to a specific program (default off; counsel to confirm wording).
7. Data we hold, and your exports #
Your conversations, files, memories, and settings are held on our servers in your per user data store. If you turn on the daily export, we also write a copy to your own Google Drive. We do not keep a separate backup outside our production and disaster recovery arrangements except what the Privacy Policy describes. Losing your account can lose anything you did not export. You can export your data and delete your account in Settings (a 14 day cancel window applies; legal holds can pause deletion).
8. Acceptable use #
You must follow the Acceptable Use Policy. We may remove content, limit features, or suspend accounts that break it, or to meet a legal duty. Counsel to confirm notice and appeal steps, including those expected under the Digital Services Act where it applies (Regulation (EU) 2022/2065, 2022).
9. Family plan and child profiles #
A parent or guardian who creates a child profile confirms they hold parental authority, consents on the child's behalf, and agrees to the strict defaults (no screen-watching memory, no calling, no third party sharing, limited AI features). Children do not sign in on their own in v1. Counsel to confirm the parental consent method (Federal Trade Commission, 2025, 16 C.F.R. § 312.5).
10. Plans, credits, billing #
Paid plans renew until canceled. Credits, pack credits, expiry, refunds, and taxes are set out in the plan page. Payments are processed by Stripe; we do not see full card numbers. Counsel to confirm auto-renewal disclosures, regional refund windows, pack credit expiry, and in-app purchase rules for iOS and Android (Apple Inc., n.d.; Google LLC, n.d.).
11. Third party services and connectors #
When you connect Google or another service, that service's terms apply and you authorize us to act on your behalf only within the scopes you grant. We are not responsible for that service. The browser agent and similar tools may not be used on sites whose terms forbid automation, and we maintain a block list.
12. Copyright and takedown #
See the DMCA Policy. Repeat infringers lose access (Digital Millennium Copyright Act, 1998, § 512(i)(1)).
13. Not for regulated emergencies or care #
The Service is not an emergency service. If you may harm yourself or others, call local emergency services; in the United States you can call or text 988. The Service does not diagnose, treat, or monitor any condition, and is built to stay outside the rules for medical device software (Federal Food, Drug, and Cosmetic Act, 1938; counsel and a regulatory advisor to confirm). Health and EHR features, if offered, are separate products with their own terms.
14. Warranty disclaimer and liability #

15. Disputes, governing law, arbitration #

Open questions for counsel (this document) #
- Minimum age 18: confirm, and the handling of a known minor who signed up anyway.
- Arbitration and class waiver: use or not, and carve outs for EU and UK consumers.
- Whether the persona model for employer or school owned devices needs separate terms.
- Auto-renewal, refund, and pack credit expiry rules by region.
- Required notice wording for AI generated media and chat disclosure.
